Numismatic Association of Southern California
Constitution

 

Be it enacted by the Board of governors of the Numismatic Association of Southern California:

SECTION 1
The name of this Association shall be "Numismatic Association of Southern California".

SECTION 2
The purpose of the Association is to foster and promote Interest in the art and science of numismatics among its members and the general public. In furtherance of that purpose, the Association is empowered to hold conventions and meetings, from time to time; to write, publish and distribute a magazine and other publications pertaining to numismatics; to establish and operate a (public) Numismatic Museum containing exhibits of coins and other artifacts; to present lectures, seminars and other programs pertaining to numismatics; to do any and all lawful acts and things and to engage in any and all lawful activities which may be necessary, useful, suitable, desirable or proper for the furtherance, accomplishment, fostering, or attainment of any or all of the purposes for which the corporation is organized, and to aid or assist other organizations whose activities are such as to further, accomplish, foster or attain any of such purposes. Notwithstanding anything herein to the contrary, the corporation shall exercise only such powers as are in furtherance of the educational purposes for which it is formed.

The corporation is not organized for profit, and no part of the net earnings of the corporation shall inure to the benefit of any private shareholder or Individual. In the event of the liquidation or dissolution of the corporation, whether voluntary or involuntary, no member shall be entitled to any distribution or division to it's remaining property or Its proceeds, and the balance of all money and other property received by the corporation from any source, after the payment of all debts and obligations of the corporation, shall be distributed to a non-profit fund, foundation or corporation, which is organized and operated exclusively for charitable, religious, scientific and/or educational purposes and which has established its tax exempt status under Section 501 (c) (3) of the Internal Revenue Code and section 23701d of the Revenue and Taxation Code. If this corporation holds any assets in trust, such assets shall be disposed of In such manner as may be directed by decree of the superior court of the county in which this corporation's principal office is located, upon petition therefor by the Attorney General or by any person concerned in the liquidation.

SECTION 3
That the control of said Association shall be vested in a Board of Governors; one to be elected or appointed by each coin club that holds membership in this Association; officers and six additional members to be elected.

SECTION 4
That the Board of Governors shall have the power to make or amend such by-laws and regulations as they may deem proper for the management and control of the business and affairs of the Association.

SECTION 5
That this constitution shall take effect immediately.

SECTION 6
This constitution may be amended by a two-thirds vote of the Board of Governors. The proposed amendment(s) shall be presented at a Board of Governors meeting of this Association and voted at the next Board of Governors meeting following publication in the Quarterly. All amendments shall become effective immediately upon passing.
