By-Laws
The Numismatic Association of Southern California, in order
that its objectives and purposes shall be kept on a high standard, does hereby
adopt the following by-laws and regulations:
ARTICLE I—MEMBERSHIP
SECTION 1.
Membership of this Association shall consist of Clubs, Regular members, Junior
members, Sustaining members, and Life members.
SECTION 2.
Regular members shall be those individuals and local clubs and associations in
good standing.
- Any individual of good moral character eighteen years
of age or older may be accepted for regular membership, provided the applicant
be vouched for by a member.
- Any club or association shall be eligible for regular
membership, provided the applicant be approved by the Board of Governors.
- Charter members shall be so designated on their cards
and roster.
SECTION 3.
Junior members shall consist of any individual of good moral character younger
than eighteen years of age, provided the applicant is vouched for by a member.
- Junior members shall automatically become regular
members and shall be entitled to all privileges upon reaching the age of
eighteen years.
- Junior members shall have the letter “J” preceding
their membership number.
- Junior members shall not vote or hold office.
SECTION 4.
Sustaining members shall consist of all regular members who have paid the
necessary fee to acquire sustaining membership status. They shall be entitled to
all privileges of regular membership.
SECTION 5.
All elected officers and appointed committee chairmen shall be members in good
standing.
SECTION 6.
Life membership is awarded to all past presidents who have fulfilled their
tenure of office. They are entitled to all privileges of regular membership.
ARTICLE II—APPLICATION, ADMISSION, AND DUES
SECTION 1.
Application to become a member shall be made in writing on a form furnished by
the Association.
SECTION 2.
Such application shall be sent to the Corresponding Secretary.
SECTION 3.
Membership dues and fees are to be as follows:
- Regular and junior members: initiation fees and annual
dues as established by the Board of Governors.
- Sustaining members: a lifetime fee as established by
the Board of Governors.
- Any individual or club joining after October 1, of any
year, is to be credited for the ensuing year.
ARTICLE III—RESIGNATION, SUSPENSION, AND EXPULSION
SECTION 1.
Annual dues shall be payable to the Corresponding Secretary in advance of
January 1 of each year. Any member who fails to pay the dues before April 1 in
any year shall be suspended.
SECTION 2.
Whenever written charges are brought against any member for conduct prejudicial
to the welfare of the Association, such charges shall be signed by the person
making them. Such charges, with particulars thereof, shall be filed with the
Grievance Committee who shall follow the policies and procedures adopted by the
Board of Governors.
ARTICLE IV—ELECTED OFFICERS
SECTION 1.
The elected officers of the Association shall be: President, Vice President,
Recording Secretary, Corresponding Secretary, Treasurer, Historian, and six
elected Board of Governor members.
SECTION 2.
The order of succession should there occur a vacancy in the office of the
President shall be:
- Vice President.
- Corresponding Secretary.
- Treasurer.
- Recording Secretary.
- Immediate Past-President.
- Elected Board of Governor member in alphabetical order
of their surname.
SECTION 3.
The duties of the President shall be:
- To preside at all meetings of the Association.
- To preside at all meetings of the Board of Governors.
- To call at least three (3) board meetings between
conventions.
- To appoint all committees that may be necessary. All
such members must be members in good standing in the Association.
- To fill by temporary appointment any vacancy in any
elective office. Such appointment must be approved by the Board of Governors
at the subsequent Board of Governors’ meeting.
- To countersign all proper warrants drawn by the
Corresponding Secretary on the treasury.
- To appoint a nominating committee prior to April 1 of
an odd-numbered year. Said committee to consist of a Chairman and two (2)
additional members.
- To act as Chairman at all conventions.
- To authorize payment for unforeseen expenditures (not
to exceed $100.00).
SECTION 4.
The duties of the Vice President shall be:
- To act as President in the absence of the President.
- To perform all duties delegated by the Board of
Governors.
- To succeed to the office of President upon the death or
resignation of the President.
SECTION 5.
The duties of the Recording Secretary shall be:
- To keep a true record of Association transactions and
preserve all documents pertaining to that office.
- To act as Secretary of the Board of Governors and keep
a true record of its proceedings.
- To perform all duties delegated by the Board of
Governors.
SECTION 6.
The duties of the Corresponding Secretary shall be:
- To receive all dues paid to the Association and to
remit all receipts to the Treasurer at least once a month.
- To sign all proper warrants on the treasury and forward
them to the President.
- To receive and process all applications for membership.
- To prepare a list of members to be sent to the Editor
annually.
- Submit all Club and Association applications for
membership to the Board of Governors for approval.
- To perform all duties delegated by the Board of
Governors.
SECTION 7.
The duties of the Treasurer shall be:
- To receive all money of the Association collected from
any source.
- To pay out money for unforeseen expenses of the
Association not to exceed the sum of $100.00.
- To prepare an accounting of all funds received and a
full and final report of all matters pertaining to the office of Treasurer to
be presented to the board of Governors each year.
- To perform-all duties delegated by the Board of
Governors.
SECTION 8.
The duties of the Historian shall be:
- To keep a true record of all activities of the
Association and to preserve all historical documents.
- To perform all duties delegated by the Board of
Governors.
SECTION 9.
The duties of the Board of Governors shall be:
- To act on all affairs of the Association including but
not limited to:
- Approval of appointments to fill vacancies in any
elective office.
- To decide on the place and time for holding
conventions.
- To prescribe form of membership applications.
- To rule on disposition of charges against a member.
- To fix the amount of the dues of all members.
- To remove from office any elected or appointed officer
who does not or cannot meet the requirement of that office.
- To request bids and decide on the auctioneer for the
subsequent convention auction.
SECTION 10.
All elected officers, Club Representatives or alternates and the immediate
Past-President are members of the Board of Governors and shall be entitled to
vote, except the President who will vote only in the event of a tie vote.
ARTICLE V—ELECTIONS
SECTION 1.
Nominations shall be reported and accepted at the second Board of Governors’
meeting of each odd numbered year.
SECTION 2.
The list of nominees shall be published in the summer and fall issues of the
Association’s Quarterly publication.
SECTION 3.
Ballots shall be mailed according to the policies and procedures adopted by the
Board of Governors.
SECTION 4.
All elected officers’ terms shall be for two years with the installation of new
officers occurring during the convention of each even-numbered year.
SECTION 5.
The President and Vice President shall not succeed themselves in office.
SECTION 6.
An election committee, whose duty shall be to ratify the election results, shall
be appointed by the President at each even-numbered convention.
ARTICLE VI—APPOINTED OFFICERS
SECTION 1.
An Editor shall be appointed by the President, subject to the approval of the
Board of Governors.
SECTION 2.
A Sergeant-at-arms shall be appointed annually.
SECTION 3.
The President, Vice President and Immediate Past-President shall act as
Directors of the Money Museum.
SECTION 4.
A Curator shall be appointed by the President, subject to approval of the Board
of Governors. He shall be bonded by the Association. The bonding fee is to be
paid by the Association.
- The duties of the Curator shall be to provide for the
proper display, storage and maintenance of all numismatic material under his
care and to prepare and maintain a proper and correct inventory at all times.
A true copy shall be provided to the Recording Secretary.
- The Curator may appoint an Assistant Curator, who shall
be bonded by the Association with the fee to be paid by the Association.
ARTICLE VII—CONVENTIONS
SECTION 1.
The Association may meet in convention annually, or as often as may be decided
by the Board of Governors.
SECTION 2.
A business meeting shall be scheduled during the annual convention.
ARTICLE VIII—SPECIAL PROVISIONS
SECTION 1.
All Board of Governors’ and business meetings shall be conducted according to
Robert’s Rules of Order.
SECTION 2.
A quorum for transaction of business at any Board of Governors’ meeting or
business meeting shall consist of fifteen (15). Voting members are:
- All elected officers.
- Elected board members.
- Club representatives or alternates.
All members, except Junior members, in good standing are
eligible to vote at any meeting.
SECTION 3.
No officer, committee, or member shall incur any expense in the name of the
Association except with the authorization or approval of the Board of Governors.
SECTION 4.
Nominees for office submitted by the nominating committee shall be forwarded to
the President in time for publication in the summer and fall issues of the
Association’s Quarterly publication in the odd-numbered year.
SECTION 5.
These by-laws may not be suspended.
SECTION 6.
Each officer or committee member at the expiration of term of office shall
deliver to the Recording Secretary all books, papers, money or other property
belonging to the Association. The Policy and Procedure manuals are to be
returned to the Policy and Procedure Chairman.
SECTION 7.
No person shall be elected to the office of the President without having first
served as an elected officer of the Association.
SECTION 8.
All Club Representatives and/or alternates must be members of the Association.
SECTION 9.
Any elected officer and any member of the elected Board of
Governors shall be present at ALL meetings.
- After an absence of two (2) consecutive meetings the
President shall appoint a committee to review the performance of said
absentee(s). The President shall evaluate the recommendations and submit a
report to the Board of Governors for approval at the subsequent Board of
Governors’ meeting.
SECTION 10.
Any officer who is delinquent in his duties according to the policy and
procedure, and/or the President has received a complaint or complaints, shall be
subject to a removal hearing.
- The President shall appoint a committee of three (3) to
have such a hearing concerning removal of said officer. Said officer shall be
advised of the hearing date and asked to be present.
- The decision of the committee will be brought before
the Board of Governors for approval.
ARTICLE IX—EFFECTIVE DATE
SECTION 1.
The effective date of these by-laws is November 28, 1955.
ARTICLE X—AMENDMENTS
SECTION 1.
The effective dates of the amendments to these by-laws are:
- October 2, 1960.
- August 2, 1964.
- July 30, 1967.
- December 1, 1974.
- September 5, 1985.
- May 31, 1992.
- October 30, 1994.
- October 29, 1995.
- February 24, 2002.
